Terms & Conditions — EcoAppraise™

1) Acceptance of Terms
By accessing or using EcoAppraise.com and related services (the “Service”), you agree to these Terms & Conditions (the “Terms”). If you do not agree, do not use the Service.
“EcoAppraise”, “we”, “us” and “our” mean Carbon Blue Solutions Limited LLC, doing business as EcoAppraise™. “You” and “your” mean the person or entity using the Service.
2) About the Service
EcoAppraise™ provides evidence-graded appraisals of environmental and sustainability-related claims, including but not limited to marketing copy, web pages, press releases, reports and disclosures. Our tools and human review processes apply a fixed rubric that outputs a risk rating (LOW / MEDIUM / HIGH) and narrative reasoning.
EcoAppraise™ is not:
-
a certification body;
-
a law firm or regulatory authority; or
-
a provider of legal, financial, investment, or professional advice.
Our outputs are evaluative opinions based on the information available to us at the time, not guarantees of regulatory compliance or outcomes.
Some deliverables are produced offline (AI-assisted) due to on-site scanning limits and may not appear in the automated verification system unless explicitly issued with a Verification Code.
3) Eligibility & Accounts
You must be at least 18 years old to use the Service or submit claims. If you create an account, you are responsible for:
-
safeguarding your login credentials; and
-
all activity that occurs under your account.
You must promptly notify us of any unauthorised use of your account.
4) Submissions & Licence
“Submission” means any text, claims, links, files, data, documents, or media that you provide to the Service, including via forms, uploads, APIs, or email.
By submitting any Submission, you represent and warrant that:
-
you have all rights, permissions, and authority necessary to provide the Submission to us and to permit us to use it as described in these Terms;
-
your Submission does not infringe or misappropriate the intellectual property, privacy, or other rights of any third party; and
-
your Submission does not contain unlawful, defamatory, abusive, or malicious content.
You retain ownership of your Submissions.
You grant EcoAppraise™ a non-exclusive, worldwide, royalty-free licence to host, store, process, analyse, and use your Submissions solely to:
-
deliver the Service to you;
-
maintain internal records of work performed;
-
improve and ensure the quality, safety, and reliability of the Service (including testing and monitoring); and
-
create anonymised and aggregated statistics and insights that do not identify you or your clients.
We will not sell your Submissions as standalone content.
5) Uploaded Reports & Files; Confidentiality & Verification
5.1 Uploaded reports and supporting files
You may use our upload forms or other channels to provide ESG / sustainability reports and related documents (“Client Reports”). Client Reports may contain commercially sensitive and confidential information. We treat Client Reports as confidential and use them only for the purposes set out in Section 4 and in any separate non-disclosure agreement (NDA) between us.
5.2 Default confidentiality
Unless you expressly authorise otherwise in writing, your Submissions and any associated reports we generate for you (including risk ratings, reasoning, and reference codes) are confidential between you and EcoAppraise™ and will not be made public by us.
5.3 Your discretion to release
You may disclose your own reports, including EcoAppraise outputs, at your discretion. A report becomes public only if you choose to release it (for example, by publishing the Verification Code publicly or by sharing a verification link).
5.4 Verification page and public metadata
Where supported, anyone with a valid Verification Code may verify a report at our verification page (currently at https://www.ecoappraise.com/verify-a-report or a successor URL).
Offline/manual reports or memos generated outside the automated on-site system may not have an online verification page unless we explicitly issue them with a Verification Code.
If you choose to release a report publicly, you authorise us to display minimal public metadata about that report, such as:
-
reference or verification code;
-
final risk rating (LOW / MEDIUM / HIGH); and
-
issue date and methodology version.
Underlying files, detailed reasoning, and your original Submissions remain non-public unless you explicitly authorise release.
5.5 Use of uploaded files and storage behaviour
Uploaded files may be temporarily stored on infrastructure operated by us and/or our third-party service providers to allow us to retrieve and review them. We may download Client Reports to our own secure storage for the duration of the engagement and delete the copies held in our web-hosting environment after download or after completion of the engagement.
We may retain local copies of Client Reports for a reasonable period after completion of the engagement for record-keeping, quality control, and legal/regulatory purposes, after which they will be deleted or anonymised, unless we are required to retain them longer by law or for the establishment, exercise, or defence of legal claims.
5.6 No misrepresentation of reports
If you cite or display an EcoAppraise report or score publicly, you agree that you will:
-
not alter or misrepresent the score, date, or wording of the report; and
-
where reasonably practicable, include the associated Verification Code or a link to the verification page.
5.7 Client responsibility for uploads
You are responsible for:
-
ensuring that anyone whose data appears in Client Reports has been informed appropriately and, where required, has provided consent;
-
not uploading more personal or sensitive data than is reasonably necessary;
-
not including special category or highly sensitive personal data (such as health, political opinions, or data on children) unless strictly necessary and agreed with us in advance; and
-
ensuring Client Reports you upload do not contain malware or technically harmful content.
Technical limits may apply to file formats, sizes, and number of files per submission, and we may reject or request resubmission if uploads exceed those limits or fail for technical reasons.
6) Ownership & Use of the Service
Your rights. You own your Submissions and Client Reports.
Our rights. The Service—including the EcoAppraise™ name, logos, trademarks, scoring rubric and evidence hierarchy, weights and penalties/bonuses, reference-code scheme, templates, user interface, analytics, and any generated layout or text (excluding your embedded content)—is the proprietary intellectual property of Carbon Blue Solutions Limited LLC and its licensors.
You receive only a limited, revocable licence to access and use the Service for your internal business purposes and in accordance with these Terms. No other rights (including to copy, modify, resell, or create derivative works) are granted except as expressly stated.
If there is any conflict between these Terms and a signed NDA between you and us, the NDA will take precedence with respect to confidentiality and use of Client Reports.
7) Prohibited Conduct (including Anti-Scraping / Reverse Engineering)
You shall not (and shall not enable or assist others to):
-
scrape, crawl, harvest, or bulk-download the Service, reports, or underlying data;
-
reverse engineer, decompile, disassemble, or otherwise attempt to derive the scoring logic, rubric weights, penalties/bonuses, or reference-code algorithm;
-
benchmark or publicly publish comparative tests of the Service, or train AI models on Service outputs, without our prior written consent;
-
bypass or attempt to bypass rate limits, authentication, security, or access controls;
-
use the Service to build, train, or assist a competing product or service;
-
use automated tools to submit an unreasonable volume of requests; or
-
submit malware, unlawful content, or content intended to disrupt or degrade the Service.
We reserve the right to monitor for abuse and to suspend or terminate access if we reasonably believe this Section has been breached.
8) Fees
8.1 Pricing & Scope
The fees for our services are displayed to you before you complete your purchase. These fees cover the work required to analyse your content and generate our deliverables, such as risk assessments and reports. Fees are not contingent on any specific outcome, such as a “passing” score, a finding of compliance, or any regulatory decision.
8.2 One-off Purchases
All current services—including Instant Scan upgrades for text and websites and deeper EcoAppraise-style reports—are offered as one-off purchases charged at the time of your order. Once automated or human review work has begun, purchases are non-refundable unless:
-
a specific guarantee is stated at checkout; or
-
a refund is required under applicable consumer-protection law.
8.3 Taxes
Our fees do not include taxes. You are responsible for any applicable VAT, GST, sales tax, or similar taxes, which will be added and collected at checkout where required.
8.4 Trials & Promotions
From time to time, we may offer discounted or trial pricing. Unless explicitly stated, promotional pricing is not recurring and applies only to the specified order or period.
8.5 Price Changes
We may change our prices or service features at any time. Changes will not affect purchases you have already completed.
8.6 Payment Processing & Failures
Payments are processed by third-party payment processors. If a payment fails, is charged back, or is reversed, we may suspend or limit access to the relevant services until the outstanding amount is paid. You agree to keep your billing information accurate and up to date.
8.7 No Contingency or Certification
The fees you pay are for our analysis and reporting services. We do not guarantee specific regulatory outcomes, enforcement decisions, or any third-party certifications or approvals.
8.8 Currency & Invoices
Unless otherwise stated, all prices are in US dollars (USD). Electronic receipts and/or invoices will be sent to the email address associated with your order after payment is complete.
8.9 Where to Find Prices
The most current prices and details for our services are available on our Pricing page or within the Service.
9) Methodology & Updates
We may update our rubric, evidence hierarchy, weights, scoring bands, and risk classifications over time. Changes generally apply prospectively. Previously issued may berisk ratings updated if:
-
you provide new or corrected evidence; or
-
material changes are made to the underlying rules or guidance that inform our rubric.
Where applicable, we will indicate the version of the rubric or methodology applied and the risk-rating scale used (LOW / MEDIUM / HIGH).
10) Privacy
Your personal data is handled as described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our processing of personal data as described in that policy.
11) Disclaimers
THE SERVICE AND ALL REPORTS, RISK RATINGS, FINDINGS, AND OTHER OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
REPORTS ARE GOOD-FAITH EVALUATIVE OPINIONS BASED ON THE MATERIALS YOU PROVIDE AND PUBLIC INFORMATION AVAILABLE AT THE TIME OF REVIEW. THEY DO NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, OR PROFESSIONAL ADVICE, AND YOU REMAIN SOLELY RESPONSIBLE FOR YOUR FINAL COMMUNICATIONS, FILINGS, AND COMPLIANCE DECISIONS.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOAPPRAISE™ AND CARBON BLUE SOLUTIONS LIMITED LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US $500 OR (B) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
13) Indemnification
You agree to defend, indemnify, and hold harmless EcoAppraise™ and Carbon Blue Solutions Limited LLC, and our officers, directors, employees, and agents, from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
-
your Submissions or Client Reports;
-
your use of the Service; or
-
your breach of these Terms or violation of any applicable law or third-party rights.
14) Suspension & Termination
We may suspend or terminate your access to the Service (in whole or in part) at any time if we reasonably believe that:
-
you have violated these Terms;
-
your use of the Service poses a security or integrity risk;
-
your use constitutes abuse of V1.0 Enterprise access; or
-
we are required to do so by law or by a request from a competent authority.
Where reasonable, we will attempt to notify you of a suspension or termination. Upon termination, your right to use the Service will cease, but provisions that by their nature should survive (including those relating to confidentiality, IP, limitations of liability, and indemnity) will continue to apply.
15) Governing Law & Venue
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Subject to any mandatory consumer rights that apply, you agree that the exclusive venue and jurisdiction for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Miami-Dade County, Florida.
16) Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the “Effective Date” above. Material changes may be notified via the Service or email where reasonably practicable. Your continued use of the Service after updated Terms take effect constitutes your acceptance of them.

18) Miscellaneous
Entire Agreement. These Terms (together with any policies and agreements referenced herein, including any NDA and our Privacy Policy) constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
Force Majeure. We will not be liable for any delay or failure to perform due to events or circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, power failures, or failures of third-party networks or services.
