Terms & Conditions — EcoAppraise™

Effective Date: August 29, 2025

1) Acceptance of Terms

By accessing or using EcoAppraise.com and related services (the “Service”), you agree to these Terms & Conditions (the “Terms”). If you do not agree, do not use the Service.

2) About the Service 

EcoAppraise™ provides evidence-graded appraisals of individual environmental/sustainability claims using a rubric that outputs a 0–100 score with concise reasoning. Capacity is limited during beta and turnaround times may vary. EcoAppraise™ is not a certification body and does not provide legal, financial, investment, or professional advice.

3) Eligibility & Accounts

You must be 18+ to participate in the beta or submit claims. If you create an account, you’re responsible for safeguarding credentials and for all activity under your account.

4) Submissions & License

“Submission” means any claim text, links, files, data, or media you provide. You represent you have the rights to submit it and that it does not infringe others’ rights or contain unlawful content. You grant EcoAppraise™ a non-exclusive, worldwide, royalty-free license to host, process, and analyze your Submissions solely to deliver and improve the Service (including quality assurance and safety). You retain ownership of your Submissions.

5) Confidentiality, Reports & Verification

  • Default confidentiality. Your Submissions and the generated Report (score, reasoning, reference code) are confidential by default and will not be made public by us.

  • Your discretion to release. You may disclose your own Report privately. A Report becomes public only if you release it (e.g., by posting the Verification Code publicly or enabling a release setting).

  • Verification page. Anyone with a Verification Code can confirm an authentic copy of a released Report at https://www.ecoappraise.com/verify-a-report.

  • Public metadata on release. If you release a Report, you authorize us to display minimal public metadata: Reference, Score, and Issue Date. Underlying files remain private unless you explicitly authorize release.

  • No misrepresentation. If you cite a Report publicly, you must include the Verification Code or a link to the verification page and must not alter the score, wording, or date.

  • Versioning. Scores are versioned; they may change if the evidence changes or the rubric is updated (the applicable version will be indicated).

6) Ownership & Use of the Service

  • Your rights. You own your Submissions.

  • Our rights. The Service—including the EcoAppraise™ name, trademarks, rubric and weightings, penalties/bonuses, reference-code scheme, templates, UI, and generated layout/text (excluding your embedded content)—is proprietary IP of Carbon Blue Solutions Limited LLC and its licensors. No rights are granted except as expressly stated.

7) Prohibited Conduct (Anti-Scraping / Reverse Engineering)

You shall not (and shall not enable others to):

  • Scrape, crawl, harvest, or bulk-download the Service or Reports;

  • Reverse engineer, decompile, or attempt to derive the scoring logic, rubric weights, penalties/bonuses, or reference-code algorithm;

  • Benchmark, publish comparative tests, or train AI models on Service outputs without our prior written consent;

  • Bypass rate limits, security, or access controls;

  • Use the Service to build or assist a competing product;

  • Submit malware, unlawful content, or interfere with normal operation.

8) Fees

 

8.1 Pricing & Scope. The fees for our services are displayed to you before you complete your purchase. These fees cover the work required to analyze your content and generate our deliverables, such as reports. Fees are not dependent on any specific outcome, like passing scores or "compliant" determinations.

8.2 One-off Purchases. All of our current services—including Instant Scan upgrades for text and websites, as well as EcoReports and EcoAppraise—are one-off purchases charged at the time of your order. These services are tied to your account and are non-refundable once the automated or human review work has begun, unless a specific guarantee is stated at checkout or required by law.

8.3 Taxes. Our fees do not include taxes. You are responsible for any applicable VAT/GST/sales or similar taxes, which will be added and collected at checkout.

8.4 Trials & Promos. From time to time, we may offer discounted or trial pricing. Unless otherwise stated, promotional pricing is not a recurring offer.

8.5 Price Changes. We may change our prices or service features at any time. Any changes will not affect purchases you have already made.

8.6 Payment Processing & Failures. Payments are handled by our third-party processor. If a payment fails or is reversed, we may suspend or limit access to your account until the outstanding amount is paid. You agree to keep your billing information up to date.

8.7 No Contingency or Certification. The fees you pay are for our analysis services. We do not guarantee specific outcomes, regulatory decisions, or third-party certifications.

8.8 Currency & Invoices. Unless otherwise stated, all prices are in USD. Electronic receipts and invoices will be sent to the email address associated with your account after payment is complete.

8.9 Where to Find Prices. The most current prices and details for all our services are available on our Pricing page.

9) Methodology & Updates

We may update the rubric, evidence hierarchy, weights, and scoring bands. Changes will apply prospectively. Previously issued scores may be updated if new evidence is provided or material rules change.

10) Privacy

Your personal data is handled as described in our Privacy Policy. By using the Service, you consent to that policy.

11) Disclaimers

THE SERVICE AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. REPORTS ARE GOOD-FAITH EVALUATIVE OPINIONS BASED ON AVAILABLE EVIDENCE AT THE TIME.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOAPPRAISE™ AND CARBON BLUE SOLUTIONS LIMITED LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$500 OR THE AMOUNTS YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13) Indemnification

You will defend, indemnify, and hold harmless EcoAppraise™ from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your Submissions or your breach of these Terms.

14) Suspension & Termination

We may suspend or terminate access at any time if we reasonably believe you violate these Terms, present a security risk, or abuse beta access.

15) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law. Exclusive venue and jurisdiction lie in the state or federal courts located in Miami-Dade County, Florida. Mandatory consumer rights (if any) are not affected.

16) Changes to the Terms

We may update these Terms from time to time. We will revise the Effective Date when we do. Your continued use after the update constitutes acceptance of the new Terms.

18) Miscellaneous

Entire Agreement. These Terms (and policies referenced herein) are the entire agreement between you and us regarding the Service.
Severability. If any part is unenforceable, the rest remains in effect.
No waiver. Failure to enforce a term is not a waiver.
Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
